1. Acceptance of Terms

Welcome to Dark Magus, LLC (“we,” “us,” or “our”). By accessing or using darkmagus.com (the “Site”) or engaging our performance marketing and lead generation services, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, please do not use the Site or our services.

3. Modification of Terms

We may modify these Terms at any time. Changes are effective upon posting to the Site. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms. Any service agreement executed separately between Dark Magus, LLC and a client will govern in the event of a conflict with these Terms.

4. Use of the Site

4.1 Eligibility

You must be at least 18 years old to use the Site or engage our services. By using the Site, you represent that you meet this requirement.

4.2 Prohibited Uses

You agree not to use the Site to:

• Violate any applicable law or regulation
• Transmit malicious code, viruses, or harmful software
• Interfere with or disrupt the Site or its underlying infrastructure
• Impersonate any person or entity
• Scrape, harvest, or collect data about other users without consent

5. Our Services

5.1 Description

Dark Magus, LLC provides performance marketing, lead generation, and related campaign management services. The scope, deliverables, and pricing for any engagement are set out in a separate written proposal or service agreement between Dark Magus, LLC and the client, which controls over any general description on the Site.

5.2 No Guaranteed Outcomes

Marketing performance is influenced by factors outside our control, including market conditions, platform policy changes, and a client’s own offer and conversion process. We do not guarantee specific lead volumes, conversion rates, or revenue outcomes unless expressly stated in a signed service agreement.

5.3 Fees and Payment

Fees, billing frequency, and accepted payment methods are defined in the applicable service agreement. Invoices are due on the terms stated in that agreement, and we reserve the right to pause services on accounts with amounts past due.

6. Intellectual Property

6.1 Ownership

All content on the Site, including text, graphics, logos, and software, is the property of Dark Magus, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Site for personal or internal business reference. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written permission.

6.3 Campaign Assets

Ownership of creative assets, data, and reporting produced for a specific client engagement is governed by the applicable service agreement, not by these general Terms.

7. Disclaimer of Warranties

We do not warrant that:

• The Site will be uninterrupted, timely, or error-free
• Defects will be corrected
• The Site is free of viruses or other harmful components

You agree to defend, indemnify, and hold harmless Dark Magus, LLC, its officers, employees, and agents from any claims, liabilities, or expenses arising out of your violation of these Terms or misuse of the Site.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Site shall be resolved through binding arbitration under the rules of the American Arbitration Association, seated in Sheridan, Wyoming.

10.3 Class Action Waiver

Any arbitration or proceeding shall be limited to the dispute between you and Dark Magus, LLC individually. You waive any right to participate in a class action or class-wide arbitration.

11. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining Terms will stay in full effect.

12. Entire Agreement

These Terms, together with any applicable service agreement, constitute the entire agreement between you and Dark Magus, LLC regarding use of the Site and supersede any prior understanding.
